2. THE AGREEMENT BETWEEN US
2.1 These Terms form a binding agreement between you and us from the moment you enrol in the Course.
2.2 By enrolling, you confirm that you have read and understood these Terms, that you accept them, and that you have the legal capacity to do so.
2.3 We may amend these Terms from time to time. The version of the Terms in force at the date of your enrolment applies to that enrolment.
2.4 These Terms are to be read together with the Consent Form and the Privacy Policy.
3. NATURE OF THE COURSE
3.1 The Course is provided for educational and continuing professional development purposes only.
3.2 The Course is not accredited. The Course is not nationally recognised training, is not delivered under a Registered Training Organisation framework, and does not lead to any formal, nationally recognised or regulated qualification.
3.3 Any certificate we issue is a certificate of completion or attendance only. It records that you attended or completed the Course. It is not a qualification, and it is not evidence of your competence, licensing, accreditation or endorsement to perform any technique.
3.4 We do not assess, certify, warrant or guarantee your competence to apply any technique taught in the Course.
3.5 Nothing in the Course constitutes clinical, medical, financial or legal advice, or a recommendation to assess or treat any particular patient or client.
3.6 You remain solely responsible for determining whether any technique taught in the Course is appropriate and within your own scope of practice, and for how you apply it in your own practice.
4. ELIGIBILITY
Enrolment in the Course is open only to a person who, at the date of enrolment and for the duration of the Course:
(a) is an Occupational Therapist holding current general registration with AHPRA; or
(b) is a student enrolled in an approved occupational therapy program of study; or
(c) is otherwise approved by us in writing.
4.1 You warrant that you meet the eligibility criteria in clause 4 and you must notify us immediately in writing if you cease to do so.
4.2 We may require evidence of your registration or enrolment at any time. If you do not provide it, or if you do not meet the eligibility criteria, we may refuse or cancel your enrolment.
4.3 You must only apply the training within your own professional capacity and within your own scope of practice.
4.4 You are not required to hold your own professional indemnity insurance in order to participate in the Course. You participate under our supervision. Any insurance we hold that responds to your participation applies only while you are participating in the supervised training sessions, and does not extend to your application of any technique in your own practice, for which you remain solely responsible, including the maintenance of your own professional indemnity insurance.
5. ENROLMENT AND FEES
5.1 The Fees for the Course are set out in the fee schedule below. All amounts are in Australian dollars and are inclusive of GST.
| Component | Amount (incl GST) |
|---|---|
| Online Component fee (non-refundable once accessed) | $2,097 |
| In-Person Component fee | $2,900 |
| of which: non-refundable Deposit (25% of the In-Person Component fee) | $725 |
| In-Person Balance (refundable under clause 6) | $2175 |
| Total Course fee | $4,997 |
The Fees are payable in full before the Course commences. Your enrolment is confirmed only when we accept your booking and have received your payment in accordance with this clause 5.
5.2 You may pay by direct deposit to our nominated account, or by debit or credit card through our payment provider, Stripe. We may make other payment methods available from time to time. You authorise us and our payment provider to charge the payment method you supply.
5.3 To secure your place in the In-Person Component, we require a non-refundable Deposit of $725 (being 25% of the In-Person Component fee) at the time of booking. The balance of the Fees is payable no later than 28 days before the first day of the In-Person Component. If you book within 28 days of the In-Person Component, the full Fees are payable at the time of booking.
5.4 Once we receive your payment, we will give you access to the Online Component. Access to the Online Component is granted promptly after payment is received.
5.5 Places in the In-Person Component are limited and are allocated on a first paid, first served basis.
5.6 Unless we state otherwise, the Fees do not include travel, accommodation, parking, meals, or any equipment you are asked to bring.
5.7 If you do not pay the balance of the Fees by the due date, we may treat your booking as cancelled by you and clause 6 applies.
6. IF YOU CANCEL OR TRANSFER
6.1 If you wish to cancel your enrolment, you must notify us in writing. Any refund is calculated from the date we receive your written notice, and is subject to the deductions in this clause 6.
6.2 Non-refundable deposit. Any deposit you have paid to secure your place is non-refundable. This reflects the costs we commit to in advance, including venue hire and travel for the In-Person Component.
6.3 Online Component. Once you have opened the Online Component, the Online Component fee ($2,097) is non-refundable, because it is digital content supplied to you immediately. If you cancel before you have accessed the Online Component, the Online Component fee is refundable.
Subject to clauses 6.2 and 6.3, we will refund the In-Person Balance (the In-Person Component fee less the non-refundable Deposit) according to the notice you give, as follows:
(a) 30 days or more before the first day of the In-Person Component: a full refund of the In-Person Balance ($2175);
(b) between 14 and 29 days before the first day of the In-Person Component: a 50% refund of the In-Person Balance ($1087.50); and
(c) less than 14 days before the first day of the In-Person Component, or if you do not attend: no refund.
6.4 Instead of cancelling, you may transfer your place to the next available delivery of the Course on one occasion, if you request the transfer in writing at least 14 days before the first day of the In-Person Component and pay a transfer fee of $200. Your Deposit is carried over to the new date.
6.5 You may not transfer or on-sell your place to another person without our prior written consent.
6.6 If you need to cancel because of illness, injury or another genuine hardship, contact us. We are not obliged to depart from this clause 6, but we will consider a credit or transfer in good faith, and we recommend you hold travel insurance for your travel and accommodation costs.
6.7 Clause 6 does not limit any right you have under the ACL. See clause 13.
7. IF WE CANCEL OR CHANGE THE COURSE
7.1 We may reschedule, relocate or cancel a delivery of the Course, including where there are insufficient enrolments, where a venue becomes unavailable, where the trainer is unwell or unable to attend, or where a Force Majeure Event occurs.
If we cancel a delivery of the Course and do not offer a substantially equivalent alternative date, you may elect to:
(a) transfer your enrolment to the next available delivery of the Course at no additional cost; or
(b) receive a refund of the Fees you have paid for the cancelled component.
7.2 Except to the extent required by the ACL, we are not liable for any travel, accommodation, income or other costs you incur as a result of a cancellation, rescheduling or relocation. We strongly recommend that you arrange appropriate travel insurance and book refundable travel and accommodation.
7.3 We may substitute a trainer or guest speaker, or vary the content, structure or order of the Course, provided the Course as delivered remains substantially similar to the Course as described at the time of your enrolment.
8. THE ONLINE COMPONENT
8.1 We grant you access to the Online Component for twelve (12) months from the date we give you access, unless we notify you otherwise.
8.2 Your access is personal to you, non-transferable, and for a single user. You must not share, sell or disclose your login credentials to any other person.
8.3 You must not download, record, screen-record, screenshot, photograph, copy, reproduce, adapt, distribute, publish, communicate or make available any part of the Materials, except where we expressly permit it.
8.4 You must complete the Online Component before attending the In-Person Component. We may refuse you entry to the In-Person Component if you have not done so.
8.5 We do not warrant that the Platform will be available without interruption or error. The Platform is operated by a third party and we are not responsible for its performance, except to the extent required by the ACL.
8.6 We may suspend or terminate your access to the Online Component immediately if you breach clause 8 or clause 12, without refund.
9. THE IN-PERSON COMPONENT AND HANDS-ON PRACTICAL WORK
9.1 The In-Person Component involves hands-on soft tissue techniques. This means physical contact will occur between the trainer and participants, and between participants. You will be asked to practise techniques on other participants, and other participants will practise techniques on you.
9.2 You must complete, sign and return the Consent Form, including the health declaration, before you take part in any practical activity. If you do not, you may not participate in the practical activities and no refund is payable.
9.3 You must disclose in the Consent Form, and update us about, any injury, medical condition, pregnancy, allergy, skin condition or other matter that may make participation in the practical activities unsafe for you or for another person.
9.4 You may decline to take part in, or withdraw from, any practical activity at any time and for any reason, without giving a reason.
9.5 By participating you consent to appropriate, supervised physical contact for the purposes of learning and practising the techniques taught in the Course, and you may withdraw that consent at any time.
You acknowledge that participation in the practical activities carries inherent risks, which may include:
(a) muscle soreness, tenderness, bruising or discomfort;
(b) aggravation of a pre-existing injury or condition; and
(c) in rare cases, physical injury.
9.6 We may exclude you from all or part of a practical activity where we reasonably consider that your participation would be unsafe for you or for any other person. Where we do so on health and safety grounds and not because of your breach of these Terms, we will discuss a transfer or partial refund with you in good faith.
10. YOUR CONDUCT AND OBLIGATIONS
While participating in the Course you must:
(a) behave professionally, respectfully and safely towards the trainer, guest speakers, venue staff and other participants;
(b) comply with our reasonable directions and with the rules of any venue;
(c) not attend while under the influence of alcohol or any drug that impairs your ability to participate safely;
(d) not engage in any discriminatory, harassing, bullying, threatening or sexually inappropriate conduct; and
(e) comply with your professional code of conduct and any conditions on your AHPRA registration.
10.1 We may remove you from the Course, without refund, if you commit a serious or repeated breach of clause 10. We may also report conduct to AHPRA or another authority where we are required or entitled to do so.
11. HEALTH INFORMATION, CASE STUDIES AND PRIVACY
11.1 The Course involves the discussion and review of case studies, which may include health information and other sensitive information.
If you contribute any patient or client material to the Course, you must:
(a) have obtained that person’s informed, express consent to its use for education purposes;
(b) de-identify the material so that the person cannot reasonably be identified; and
(c) comply with your own privacy and confidentiality obligations.
11.2 You must keep confidential all health information, personal information and case study material disclosed by us or by any other participant during the Course. You must not record, photograph, reproduce or disclose it to any third party.
11.3 We collect, hold, use and disclose your personal information and health information in accordance with our Privacy Policy.
11.4 We may photograph, film or record parts of the Course. We will obtain your separate written consent before doing so where you are identifiable, and you may decline.
12. INTELLECTUAL PROPERTY
12.1 All intellectual property rights in the Course and the Materials, including copyright, are owned by us or licensed to us. Nothing in these Terms transfers any intellectual property right to you.
12.2 We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Materials solely for your own personal professional development, for the period of your access.
You must not, without our prior written consent:
(a) reproduce, adapt, republish, distribute, sell, licence or commercialise the Course or any part of the Materials;
(b) teach, present, deliver or otherwise use the Course or the Materials to train or instruct any other person; or
(c) use the Course or the Materials to create, develop or deliver a competing course, program or product.
12.3 Clause 12.3 does not prevent you from applying the techniques you learn in the Course in your own clinical practice with your own patients or clients, within your own scope of practice.
12.4 You must not use our business name, trading name, logo or trade marks without our prior written consent. You may state factually that you have attended or completed the Course.
12.5 If you breach clause 12 we may terminate your enrolment and access immediately without refund, and we reserve all rights and remedies available to us at law.
13. AUSTRALIAN CONSUMER LAW AND LIMITATION OF LIABILITY
13.1 Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by the ACL or any other law that cannot lawfully be excluded, restricted or modified.
13.2 Our goods and services come with guarantees that cannot be excluded under the ACL. Where the ACL applies and our services are not of a kind ordinarily acquired for personal, domestic or household use, our liability for failure to comply with a consumer guarantee is limited, at our option, to supplying the services again or paying the cost of having the services supplied again.
13.3 Subject to clause 13.1, and to the maximum extent permitted by law, we are not liable to you for any indirect, special or consequential loss, or for any loss of profit, loss of revenue, loss of opportunity, loss of income, or any travel, accommodation or associated costs, however arising.
13.4 Subject to clause 13.1, and to the maximum extent permitted by law, our total aggregate liability to you arising out of or in connection with the Course and these Terms is limited to the amount of the Fees you have paid to us.
13.5 Subject to clause 13.1, and to the maximum extent permitted by law, you participate in the practical activities at your own risk, and we are not liable for any injury, loss or damage arising from that participation, except to the extent it is caused by our negligence.
13.6 We are not responsible or liable for how you apply, or fail to apply, any technique taught in the Course in your own practice, or for any outcome for any patient or client of yours. You are solely responsible for your own clinical judgement, scope of practice and professional conduct.
13.7 Our liability is reduced to the extent that your own act or omission, or the act or omission of a third party, causes or contributes to the relevant loss.
14. INDEMNITY
You indemnify us, and our officers, employees, contractors, guest speakers and agents, against all claims, losses, damages, costs and expenses (including reasonable legal costs) arising out of or in connection with:
(a) your breach of these Terms;
(b) your negligent, reckless or unlawful act or omission;
(c) your application of any technique taught in the Course to any patient, client or other person; or
(d) your breach of any privacy or confidentiality obligation under clause 11,
except to the extent that the claim, loss, damage, cost or expense is caused by our negligence.
15. GUEST SPEAKERS AND THIRD PARTY CONTENT
15.1 We may invite guest speakers to present to the Course. Any views, opinions or recommendations expressed by a guest speaker are their own. We do not endorse, adopt or warrant them.
15.2 Any third party materials, links, products or resources referred to in the Course are provided for information only. We are not responsible for them and do not warrant their accuracy, currency or suitability.
16. FORCE MAJEURE
16.1 We are not liable for any failure or delay in performing our obligations under these Terms where the failure or delay is caused by an event beyond our reasonable control, including natural disaster, fire, flood, epidemic or pandemic, government restriction or direction, venue closure, serious illness of the trainer, industrial action, or major transport or travel disruption (a ‘Force Majeure Event’).
16.2 Where a Force Majeure Event occurs, we may reschedule the Course, relocate it, or (where practicable and appropriate) deliver the affected part of it online. If we cancel the Course as a result, clause 7.2 applies.
17. DISPUTE RESOLUTION
17.1 If you have a complaint or dispute about the Course, you must first raise it with us in writing, setting out the nature of the dispute and the outcome you seek.
17.2 We will acknowledge your notice within seven (7) days and respond substantively within twenty-one (21) days. The parties must then negotiate in good faith to resolve the dispute for a period of twenty-one (21) days.
17.3 If the dispute is not resolved within that period, either party may refer it to mediation. The mediation is to be conducted in Perth, Western Australia by a mediator agreed between the parties or, failing agreement, appointed by the Resolution Institute. The parties share the mediator’s costs equally and each bears its own costs.
17.4 Neither party may commence court proceedings in relation to the dispute (other than an application for urgent interlocutory relief) until it has complied with clauses 17.1 to 17.3.
17.5 Clause 17 does not limit your right to exercise any right or remedy under the ACL, or to make a complaint to a regulator or professional body.
18. SUSPENSION AND TERMINATION
18.1 We may suspend or terminate your enrolment and your access to the Course immediately, by written notice, if you commit a material breach of these Terms and (where the breach is capable of remedy) you fail to remedy it within seven (7) days of our notice.
18.2 On termination under clause 18.1, your access to the Materials and the Platform ceases immediately, no refund is payable, and any Fees outstanding become immediately due.
18.3 Clauses 11, 12, 13, 14, 17 and 19 survive termination or expiry of these Terms.
19. GENERAL
19.1 These Terms are governed by the laws of Western Australia. The parties submit to the non-exclusive jurisdiction of the courts of Western Australia and the courts entitled to hear appeals from them.
19.2 These Terms, together with the Consent Form and the Privacy Policy, record the entire agreement between the parties about the Course and supersede all earlier representations, statements and agreements about it.
19.3 If any provision of these Terms is or becomes invalid or unenforceable, it is to be read down to the extent necessary, or severed, and the remaining provisions continue in full force.
19.4 A failure or delay by us in exercising a right under these Terms does not operate as a waiver of that right.
19.5 We may assign or novate our rights and obligations under these Terms. You may not assign or transfer your rights or obligations without our prior written consent.
19.6 A notice under these Terms must be given in writing by email to the address each party has most recently notified to the other, and is taken to be received on the next business day after it is sent.
19.7 You are an independent professional. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between you and us.
